    Dr. Henry Simon, Chairman of the Board
    Special Partner, Schroder Ventures, Life Sciences Advisors

    Dr. Henry Simon has been Chairman of Zarlink's Board of Directors since July 1994, and has served as a Director since 1992. Dr. Simon is a Special Partner with Schroder Ventures Life Sciences Advisors, a global investment group focusing on the life sciences sector. He joined Schroder Ventures in 1987 to head a venture capital group that developed a life sciences business in the UK, was CEO of the life sciences team until 1997 and its Chairman until 2001.

     

    Prior to that, Dr. Simon was President of Technicon Corporation, a medical diagnostics equipment manufacturer, and Vice-President of ITT Europe. He began his professional career in 1959 with Bell Telephone Laboratories.

     

    Dr. Simon is also Chairman of the Board of Leica Microsystems AG and a Director with Eyetech Pharmaceuticals, and Gyros AB. He previously served as Chairman of Shire Pharmaceuticals, Chiroscience and several other companies.

     

    Dr. Simon holds an Electrical Engineering degree from the Institute of Technology in Munich, and a doctorate in Telecommunications from the Royal Institute of Technology in Stockholm.


     


    Kirk K. Mandy, Director
    President & Chief Executive Officer

    Kirk Mandy was appointed President and Chief Executive Officer of the Company on February 17, 2005. Mr. Mandy has more than 25 years of experience in the telecommunications industry, and has played an important role in shaping Zarlink as a pure-play semiconductor company. He served as Vice-Chairman of Zarlink's Board of Directors from July 2001 to February 2005, relinquishing that position upon his appointment as President and CEO.

     

    Over a distinguished career with Mitel Corporation spanning 15 years, Mr. Mandy held increasingly senior roles, culminating in the position of President and CEO from 1998 to 2001. He oversaw Mitel's strategic decision to focus on semiconductors, and the subsequent divestiture of the Business Communications Systems (BCS) division.

     

    Mr. Mandy is also a member of the board of Epocal, Mitel Networks, and Chairman of The Armstrong Monitoring Corporation. He has served on the Board of the Strategic Microelectronics Corporation (SMC), the Canadian Advanced Technology Association (CATA), The Canadian Microelectronics Corp. (CMC), The Ottawa Center for Research and Innovation (OCRI), and Micronet. He is also past Chairman of the Telecommunications Research Center of Ontario (TRIO), past Co-Chairman of the National Research Council's Innovation Forum, and past Co-Chairman of the Ottawa Partnership. Mr. Mandy is a graduate of Algonquin College in Ottawa.


     


    Hubert T. Lacroix, Director
    President and CEO, Canadian Broadcasting Corporation (CBC)

    Hubert Lacroix has been a Director of Zarlink since July 1992. A senior adviser with the law firm Stikeman Elliott LLP (Montreal office) and with Telemedia Ventures Inc., Mr. Lacroix has more than 25 years' experience in the fields of mergers and acquisitions of public companies, and corporate finance.

     

    Mr. Lacroix is an active director with several other companies. He acts as Chairman of the Board of SFK Pulp Fund and is a trustee of the different entities in this unit trust structure. He is also a Director of Transcontinental Inc., SECOR Inc. and ITS Investments Limited Partnership. From February 1, 2000 to May 5, 2003, he was Executive Chairman of Telemedia Corporation, a media and telecommunications company. Previous to holding that position, he was a senior partner with a major Canadian law firm for more than 20 years.

     

    Over the years, Mr. Lacroix also sat on the Boards of Donohue Inc., Circo Craft Co. Inc., Adventure Electronics Inc. and Michelin Canada Inc.

     

    In addition, Mr. Lacroix serves as an adjunct professor with the Faculty of Law at Université de Montréal where he teaches in the fields of securities law, and mergers and acquisitions in public markets. He is a trustee of the Martlet Foundation of McGill University, and a director of the Montreal General Hospital Foundation and of the Fonds de développement du Collège Jean-de-Brébeuf.

     

    Mr. Lacroix received his Bachelor of Law from McGill University (1976), was admitted to the Quebec Bar in 1977 and holds an MBA from McGill University (1981).


     


    J. Spencer Lanthier, Director
    Management Consultant

    J. Spencer Lanthier is a distinguished board member and contributor with some of Canada's leading corporations and community organizations. He joined Zarlink's Board of Directors in May 2003.

     

    Mr. Lanthier enjoyed a 39-year career with KPMG Canada, serving as Chairman and CEO of the firm's Canadian operations from 1993 until he retired in 1999. Financial Post Magazine repeatedly named him one of Canada's Top 200 CEOs.

     

    A recipient of the Order of Canada, Mr. Lanthier is currently a Director of the Boards of the TSX Group, Inc., Bank of Canada, Torstar Corporation, Ellis-Don Inc., BCE Emergis, Gerdau Ameristeel Inc. and Biovail. He is also active with the United Way, Goodwill Industries, The University of Toronto, and the London Health Sciences Foundation.

     

    Educated at McGill University, Mr. Lanthier received an honorary Doctor of Law from the University of Toronto in 2002.


     


    Jules Meunier, Director
    Telecom Industry Consultant

    Jules Meunier is a veteran of the telecommunications industry, bringing far-reaching experience in business, product and technology development. Currently a telecom industry consultant, Mr. Meunier joined Zarlink's Board in August 2002.

     

    Most recently, Mr. Meunier was President and CEO of ProQuent Systems, a Boston-based startup firm developing wireless infrastructure equipment. Previously, over a 20-year career with Nortel Networks, he helped shape the company's direction as Chief Technical Officer, and held senior positions in wired, wireless, and optical communications, including serving as President of its Wireless Networks division.

     

    Mr. Meunier is also a Director with Spectrum Signal Processing Inc., a British Columbia-based firm developing wireless and Voice over Packet equipment. He holds Bachelor of Science degrees in Mathematics and Computer Science from the University of Ottawa.


     


    Dennis A. Roberson, Director
    Vice Provost for New Initiatives Executive Director of the Institute of Business and Interprofessional Studies Research Professor of Computer Science Illinois Institute of Technology

    Dennis Roberson is an accomplished executive, educator and engineer with a strong semiconductor background and a proven track record in technology leadership and business management. Currently active in academia, government and the private sector, Mr. Roberson joined Zarlink's Board in November 2004.

     

    Mr. Roberson is Vice Provost, Executive Director and Research Professor with the Illinois Institute of Technology, where he is responsible for providing leadership for a new undergraduate business school focused on entrepreneurship and technology, as well as developing research centers and business ventures in association with public and private sector partners.

     

    Previously, Mr. Roberson held Vice President and Chief Technical Officer positions with Motorola and NCR Corporation, and held senior executive positions with AT&T and Digital Equipment Corp. Mr. Roberson spent 18 years with IBM in a variety of R&D roles, including director of IBM's labs in Endicott, NY and Burlington, VT.

     

    Mr. Roberson also serves on the FCC's (Federal Communications Commission) Technology Advisory Committee, the Board of Directors for FIRST Robotics, and as a technology advisor to government agencies in Japan and Malaysia. He holds a Bachelor of Science Degree in Physics and Electrical Engineering from Washington State University, and a Master of Science in Electrical Engineering from Stanford University.


     


    Oleg Khaykin, Director
    Chief Executive Officer, International Rectifier

    Oleg Khaykin joined Zarlink's Board of Directors in November 2007 and brings proven expertise in building and growing high technology companies.


    Mr. Khaykin is Chief Executive Officer with International Rectifier, a pioneer and world leader in advanced power management technology, from digital, analog and mixed-signal ICs to advanced circuit devices, power systems and components.  Previously, Mr. Khaykin was Executive Vice President and Chief Operating Officer with Amkor Technology, a leading provider of advanced semiconductor assembly and test services. Over his career with Amkor, Mr. Khaykin has been responsible for the company's sales, marketing, research and development and manufacturing operations as well as corporate development, mergers and acquisitions, and intellectual property initiatives.


    Prior to joining Amkor, Mr. Khaykin was the Vice President of Strategy and Business Development for Conexant Systems Inc./Mindspeed, a company that designs, develops and sells semiconductors for networking applications. Mr. Khaykin also spent eight years with The Boston Consulting Group, a strategic consulting firm. Mr. Khaykin began his career as a senior development engineer and product manager with Motorola.


    Mr. Khaykin earned a B.S. in Electrical and Computer Engineering with High University Honors from Carnegie Mellon University and an M.B.A. from Northwestern University's J.L. Kellogg Graduate School of Management.


     


    Dr. Adam Chowaniec, Director
    Semiconductor Industry Advisor

    With a career spanning academia, research and development, engineering management and executive positions, Dr. Adam Chowaniec brings a wealth of technology knowledge and leadership expertise to Zarlink. Dr. Chowaniec joined Zarlink's Board in February 2007.

     

    Dr. Chowaniec began his career in 1975 as an assistant professor at Acadia University and in 1976 became a member of the scientific staff of Bell Northern Research in Ottawa. From there, he moved into engineering management at Nortel Networks. In 1983 he joined Commodore International, where he became vice-president of technology and was responsible for the development of the Amiga personal computer.

     

    In 1986, he become president and CEO of the semiconductor firm Calmos Systems. Calmos Systems was acquired by Newbridge Networks Corporation in 1989 and renamed Newbridge Microsystems. Under this new structure, he served as both its president and as a vice-president of Newbridge Networks. In December 1995, he was the founding CEO of Tundra Semiconductor Corporation.

     

    Dr. Chowaniec is currently Chairman of the Board of Directors of Tundra Semiconductor, Chair of the Ontario Research and Innovation Council, and executive in residence at Vengrowth Capital Partners Inc. He is the past chair of the Information Technology Association of Canada board of directors. In 2005, the Privy Council of Canada appointed him to the Natural Sciences and Engineering Council of Canada.

     

    Dr. Chowaniec serves on numerous boards of directors in Canada and the United States, including BelAir Networks, Liquid Computing Corporation, Gridway and Microbridge Corporations. An active member of Ottawa's high technology community, Dr. Chowaniec has held positions with the Ottawa Economic Development Corporation, the National Research Council's Industrial Research Assistance Program and the Ottawa Health Research Institute. He is also the vice-chair of the Museum of Nature's national fundraising campaign.

     

    He holds a Master's degree in Electrical Engineering from Queen's University (Canada), as well as both a Bachelor of Engineering and a Ph.D. from the University of Sheffield (England). His affiliations include the Institute of Electrical and Electronic Engineers and the Association of Professional Engineers of Ontario.
